"We," "Us," or "Our" refers to Viscorp Tech Solutions, a company registered in Uganda.
"You" or "Client" refers to any individual or entity using our website or services.
"Services" refers to web development, design, digital marketing, and other related services provided by Viscorp Tech Solutions.
"Website" refers to www.viscorptech.com and any associated subdomains.

2. Services

Viscorp Tech Solutions provides a range of digital services, including but not limited to:

Custom web development and design
UI/UX design and prototyping
Digital marketing and SEO services
Website maintenance and support

All services are subject to these Terms and any additional agreements or statements of work signed between you and Viscorp Tech Solutions. We reserve the right to refuse service to anyone for any reason at any time, provided such refusal complies with applicable laws.

3. Intellectual Property

All content on our website, including but not limited to text, images, graphics, logos, code, and software, is the property of Viscorp Tech Solutions or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

For client projects, intellectual property rights to deliverables are transferred to the client only upon full payment and as outlined in the project agreement. We retain the right to use non-confidential project elements in our portfolio unless otherwise agreed in writing.

4. Client Responsibilities

To ensure successful project execution, clients are responsible for:

Providing accurate and complete content, materials, and specifications in a timely manner.
Responding promptly to requests for feedback or approvals during the project timeline.
Ensuring that any materials provided do not infringe on third-party intellectual property rights.
Complying with all applicable laws and regulations related to their use of our services.

Failure to meet these responsibilities may result in project delays or additional costs, for which Viscorp Tech Solutions shall not be liable.

5. Payment Terms

Our payment terms for services are as follows:

A 50% deposit is required before work begins, unless otherwise specified in the project agreement.
The remaining balance is due upon project completion and before final deliverables are released.
All payments are non-refundable, except where required by applicable law or as outlined in a specific project agreement.
Payments must be made in the currency specified in the project agreement, typically UGX or USD.

We accept payments via bank transfer, mobile money, or other methods agreed upon in writing. Any additional transaction fees are the responsibility of the client.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of a project. We will not disclose your confidential information to third parties except as required by law or with your explicit consent. Similarly, you agree not to disclose our proprietary methodologies or processes.

7. Limitation of Liability

To the maximum extent permitted by law, Viscorp Tech Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services or website. Our total liability shall not exceed the amount paid by you for the services in question.

We do not guarantee that our services will be uninterrupted, error-free, or meet your specific expectations unless explicitly stated in a project agreement.

8. Termination

We may terminate or suspend your access to our services or website immediately, without prior notice or liability, if you:

Breach any provision of these Terms.
Fail to make payments as agreed.
Engage in conduct that we deem harmful to our business or reputation.

Upon termination, you must cease using our services, and any outstanding payments remain due. Provisions of these Terms that by their nature should survive termination (e.g., intellectual property, limitation of liability) shall remain in effect.

9. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Uganda, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda. Both parties agree to attempt to resolve disputes amicably through negotiation before pursuing legal action.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. We will make reasonable efforts to notify you of significant changes via email or a notice on our website. Your continued use of our services after changes are posted constitutes your acceptance of the revised Terms.

11. Force Majeure

Viscorp Tech Solutions shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, strikes, or governmental actions.
